Terms of Service

1 -Introduction

This agreement is entered into between ETAPA RACIONAL – Sistemas de Informação, Unipessoal Lda. (hereinafter referred to as ETAPA RACIONAL) and you (the customer) as the user of the app AGRINEXO AGM – agri-environmental monitor for monday.com (the application), either individually, or on behalf of your employer or any other entity which you represent. This contract may be terminated by the customer if he requests it using the specific uninstall feature for the application. ETAPA RACIONAL reserves the right to change the technical and commercial conditions for the provision of services, provided that it is announced in agrinexo.com website, at least 90 days in advance.

In the event of termination of this agreement, the limitations of ETAPA RACIONAL's liability remain in force. To settle any dispute arising from this contract, the parties stipulate the jurisdiction of the District of Lisbon, Portugal, with express waiver of any other.

2 - Use License

The availability of the application is carried out as a service, whereby the customer acquires the right to use the service within the legally established limits and its technical specifications. ETAPA RACIONAL reserves the right to immediately terminate, without further notice, the provision of services if the customer performs operations outside the specification of the service. The customer does not acquire any right of ownership or access to the source codes and databases of the applications and operating systems used by ETAPA RACIONAL and its suppliers to be able to provide this service.

Customer specific data operated in the application is owned by the user and stored within the infrastructure of the entities directly involved in the production of the service. Customer specific data operated in the application is not to be disclosed to any individuals or entities not directly involved in the production of the service, without prior written consent from the user. In case the services are terminated, customer specific data operated in the application will be deleted.

3 - Payment

Payments for services are due at the beginning of the period to which they relate. In case of overdue payments, ETAPA RACIONAL reserves the right to immediately suspend or terminate without further notice the provision of the services.

4 - Limitation of Liability

ETAPA RACIONAL does not guarantee that the operation of the application will be uninterrupted or faultless. The application must operate under adequate security and monitoring conditions that ensure data integrity and the interaction of different components and other applications.

The application is provided “as is” and any express or implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose are disclaimed. In no event shall ETAPA RACIONAL be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services, loss of use, data, or profits, or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of the application, even if advised of the possibility of such damage.
